These Terms of Service govern the purchase and use of virtual laboratory software, XR/VR applications, and related solutions developed by PNX Labs USA Inc. By purchasing a perpetual license or using our solutions, you agree to the following terms.
PNX Labs does not collect user information unless the user accesses a platform or LMS requiring authentication (username and password).
For authenticated systems, sensitive information including first name, last name, institutional ID, and related identifiers is encrypted using industry-standard military-grade encryption protocols.
All perpetual licenses include one (1) year of maintenance from the date of deployment.
This maintenance covers compatibility updates required due to official Windows, macOS, iOS, Android, Web, XR, or VR operating system or firmware updates to ensure continuous functionality.
After the first year, the annual maintenance fee equals 10% of the original quotation or total project cost.
If maintenance is not renewed and OS or XR updates render the software unusable, PNX Labs will provide a separate quotation for required updates. Costs may exceed the standard 10% maintenance fee due to urgency or engineering scope.
PNX Labs is not responsible for failures caused by unofficial updates, sideloaded firmware, modified kernels, rooted/jailbroken devices, or custom hardware/firmware modifications.
If customers plan custom system-level updates, they must notify PNX Labs prior to implementation. Such updates are not covered under standard maintenance and will be quoted separately.
Customers are strongly advised to use only official OS and firmware updates.

Unless explicitly specified in the Request for Proposal (RFP), internet connectivity is required for license validation and management.
Customers may not sell, distribute, sublicense, or transfer licenses to other institutions or third parties.
Suspected misuse must be reported immediately via https://pnxlabs.com/contact-us/ and select Report Misuse.
All software, simulations, CAD designs, assets, graphics, and content remain the exclusive intellectual property of PNX Labs USA Inc. No ownership rights are transferred.
Reverse engineering, decompiling, or attempting to extract source code is strictly prohibited.
PNX Labs shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed the amount paid by the customer in the preceding twelve (12) months.
These Terms are governed by the laws of the United States and the State of [Insert State].
